Confidential information
Confidential information may include briefs, business plans, designs, source files, credentials, product roadmaps, pricing, customer data, financial information, prototypes, strategy, technical systems, and unreleased work.
Confidential information should be used only for the purpose of evaluating or performing the relevant relationship.
Protection standard
Each party should protect confidential information using reasonable care, restrict access to people with a need to know, and avoid unauthorised disclosure.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, independently developed, lawfully received from another source, or required to be disclosed by law.
Return and deletion
On request, confidential materials should be returned or deleted where practical, subject to legal, accounting, backup, dispute, and portfolio-right retention needs.
